Corporate Counsel Duties: Report to the Senior Vice President - Global Legal Affairs & General Counsel and will provide legal support to Company and subsidiaries, business units and shared service departments with a focus on contracts, transactions, regulatory compliance and general corporate matters. Draft, review and negotiate various complex commercial agreements, using standardized and non-standardized form documents. Manufacturing, supply and purchase. Services including consulting, industrial design and product development. Vendor, customer and distributor, foreign and domestic. Software, web development and hosting. Real estate lease, purchase and sale. Equipment lease, purchase and sale. Non-disclosure/confidentiality. Term sheets, memoranda of understanding and letters of intent. Patent and trademark license, inbound and outbound. Sponsorship and endorsement. Co-branding and promotion. Develop and foster relationships with internal business clients, customers, vendors and other third parties and their external legal counsel. Provide interpretation of laws, regulations, and other sources of authority, and provide the legal form and content of proposed actions, including through legal research and/or routing to identified experts, either inside or outside the Legal department. Develop and recommend policy and positions on business, legal and regulatory matters. Draft related policies. Support the continuous improvement of standard form agreements/documents and legal processes. Assess and report on new developments, current trends and legal and regulatory changes that impact the Company’s business. Counsel internal business clients on commercial legal issues including contract interpretation, electronic commerce, social media, sale of goods, warranty and pricing. Review and revise work product of junior members of the Legal department. Protect the Company’s legal interests and maintain its operations within the scope established by law. Anticipate and guard against legal risk. Assist in the development and implementation of legal training programs in contracting process, documentation, product claims, social media, antitrust/competition and legal compliance.

Qualification and Experience

Qualifications: A J.D. Degree from an accredited law school. 5 years' experience as an attorney. Licensed in good standing to practice law in the United States with the ability to be licensed to practice in the State of Colorado. Experience in a corporate legal department, law firm and/or in-house, and demonstrated ability to successfully integrate with business clients. Well organized, able to meet agreed upon deadlines, and prioritize work consistent with Company’s business objectives and requirements, in each case, with an attention to detail and accuracy. Demonstrated ability to identify legal and business issues, balance risks, provide practical and constructive legal advice in a fast-paced business environment, prioritize and organize multiple projects, work independently and self sufficiently and respond promptly to legal requests in a team environment. Excellent interpersonal, communication and reporting skills, in each case, verbal and written (including strong grammar, spelling and proof-reading). Excellent business judgment and strategic thinking in particular, the ability to analyze and synthesize complex matters and concisely and clearly convey advice into easy to understand written communications for a wide range of constituencies within the diverse, global Company. Ability to handle and maintain confidential information on a daily basis. Experience directing other legal professionals. Preferred: Knowledge of international and/or antitrust law.
