Chief Counsel, Corporate, Securities & Governance Duties: Managing all of regulatory obligations under 33 Act, 34 Act and NYSE Listing Standards. Preparation and filing of Form 10-Ks, 10-Qs, 8-Ks, proxy statements, registration statements and insider Section 16 reports. Supporting disclosure committee processes. Managing insider trading compliance program. Managing annual meeting of shareholders, including managing shareholder proposals. Supporting Board of Directors governance, including: Drafting and maintaining minutes for all Board and committee meetings; Preparing and maintaining key governance policies. Advising Board, committees and executive management regarding key corporate governance matters. Managing transfer agent relationship. Subsidiary management. Providing legal support for executive compensation and equity compensation programs. Providing general legal support for corporate office, including investor relations and treasury functions.
Qualification and Experience
Qualifications: Bachelor’s degree and law degree. 5-10 years corporate/securities experience for major law firm and/or Fortune 500 company.
