Assistant Counsel Duties: Responsible for working as a member of a cross functional team providing legal resources, assistance, and consultation to management and staff. Assist in managing all aspects of the legal processes within the association with a focus on commercial lending, real estate transactions, foreclosure and litigation proceedings, regulatory, compliance, and human resources matters. Work closely the Association’s legal team, as well as the senior management team, outside legal counsel, and employees at all levels of the organization. Will contribute to overall bank operations through participation in the development of strategic and tactical objectives, including policy creation and implementation with staff. Providing legal advice and counsel to Farm Credit East staff regarding all commercial loan transactions, foreclosure and litigation, real estate matters, including but not limited to RESPA and consumer regulations, real estate title issues, contracts, and other legal documents. Overseeing and/or monitoring litigation, the work of outside counsel, suspected borrower irregularities, and special loan workouts. Developing consistent and regulatory compliant policy and procedural direction for the association. Assisting in disseminating and training of compliance and policy changes to staff at all levels of the organization. Providing interpretation and counsel to staff on regulatory reporting and filing, Farm Credit legislation and FCA regulations; coordinating with outside counsel when appropriate. Advising on the implications of new, revised or proposed laws or regulations, court decisions, orders or general business law which may affect the organization’s operations. Monitoring and updating all bank disclosures, monitoring bank financial and other disclosures to ensure compliance with all appropriate rules, policies, and regulations. Prepare, review, negotiate, and/or interpret various legal instruments and documents such as contracts, leases, agreements, and amendments. Provide legal advice, counsel, and representation on human resources and personnel matters, including application of and compliance with employment law and company policy. Assist in performance appraisals and personnel actions as needed. Maintains effective relationships with other System and FCA attorneys. Represents the Association in legal matters, litigation proceedings, and other transactions.

Qualification and Experience

Qualifications: J.D. Degree or equivalent law degree from an accredited law school and license to practice is required. Admission to the bar in states as appropriate for the performance of duties. 3+ years of experience as a practicing attorney in the fields of real estate, corporate and commercial and financial law. A willingness to gain knowledge of laws and regulations affecting the Farm Credit System including corporate, cooperative, and commercial law. Proven skills in complex, oral, written, and interpersonal communication and negotiation. Analysis of legal facts and circumstances and providing legal counsel to staff. A strong legal and business acumen; be a strategic thinker and problem solver; and be able to operate in a complex environment that requires adaptability, decisiveness and effectiveness working across all levels of the business.
