Senior Counsel The candidate should have: J.D. degree from a top ABA-accredited law school. Strong academic credentials. 6+ years of experience at a top tier law firm and/or large public company in-house department practicing as a corporate/securities/mergers & acquisitions lawyer. Significant Experience in: ‘34 Act compliance (e.g., preparation and/or review of 10-K's, 10-Q's, 8-K's); ‘33 Act compliance (e.g., preparation and/or review of S-3s, addressing all matters/documents related to public securities offerings); State Corporate Law and Stock Exchange Listing Standards compliance; Mergers and Acquisitions/Joint Ventures, including organizing and executing all stages of M&A transactions and joint venture projects; Finance (e.g., credit facilities, public securities offerings, share repurchases, securitization facilities); Corporate Governance Matters (e.g., review of various corporate governance documents such as bylaws, corporate governance guidelines and board committee charters, preparation of materials for board and committee meetings, drafting minutes, addressing stockholder proposals, executing the audit inquiry process, preparation and distribution of proxy materials and assisting with the organization of the annual meeting); Supporting various headquarter functions on all matters relating to corporate/securities law and M&A and other transactions; Contract drafting, review and negotiation (e.g., non-disclosure agreements, master services agreements, engagement letters and statements of work). Strong verbal and written communication skills. Strong ability to prioritize workload. Significant project management experience with a demonstrated ability to manage multi-task, multi-deadline, cross-functional projects effectively, on time and on budget. Demonstrated excellent judgment and professional maturity, including solid executive presence.
