Director, Corporate Counsel Duties: Under supervision of a more senior attorney, will provide timely and first-rate legal services and advice to all business and corporate groups in connection with the acquisition and use of goods and services. Will work independently on a high volume of various contract matters, such as basic software license, sponsorship agreements, and consulting agreements, non-disclosure and evaluation agreements, and purchase orders, engagement schedules and statements of work under license and consulting agreements. Will also, under a more senior attorney’s supervision, work directly with clients on more complex and sophisticated transactions, such as negotiating and drafting master Software License Agreements, Cloud Computing and Application Service Provider Agreements, Technology and Business Process Outsourcing Agreements, and Third Party Administrator Agreements. Review and analyze contracts in connection with due diligence and required actions in connection with merger and acquisition transactions and provide legal assistance in connection with company-wide or large scale business unit initiatives that relate to technology contracting issues (for example, contract review and analysis of contracting issues inherent in outsourcing transactions or due to privacy or security law updates) as well as projects related to various other vendor related transactions.
Qualification and Experience
Qualifications: BA/BS, preferably in business, law, or information technology; JD degree; 3+ years legal transactional experience, preferably in technology and intellectual property law and contracts with law firm or corporation; Experience with Outsourcing and Cloud Computing transactions is preferable; should have strong project management and organization skills; must have the ability to identify, analyze and summarize contract terms and conditions and contract issues; and should have expertise and extensive experience working with Microsoft Word, Excel, Access and Lotus Notes. An experienced, project-oriented, self starter who possess strong analytical, negotiation, organizational, interpersonal and communications skills. Should be able to handle a high volume of transactions at a fast pace taking into account the needs, demands and requirements of business and corporate groups. Ideally, the candidate should have experience in the IT legal area and a good working knowledge of the financial services industry. Ability to negotiate and draft contracts for acquisition of technology and other goods and services, including the ability to construct business and financial terms of transactions in addition to legal terms. It also requires the ability to turn-around contracts and documents accurately and in a prompt and timely fashion. Required to handle a large workload and to balance multiple projects and contracts simultaneously.
