Assistant / Associate General Counsel Responsibilities: Assistant General Counsel Candidate, under the direction of the Chief Legal Officer, is responsible for handling complex legal matters or projects in a variety of areas including contracts, real estate, transactional work, compliance, risk and litigation. Will serve as principal counsel for firm’s Contract Administration function. Conducts legal research and provides counsel to members of management and various departments on legal, compliance and regulatory matters. Oversees and/or handles litigation matters as assigned by the Chief Legal Officer. Drafts, reviews and participates in the negotiation of major contracts, joint ventures and affiliations. Works with the Chief Legal Officer or other management team members on matters involving patient care, employment and other critical issues arising at firm’s various hospitals, clinics and other healthcare facilities. Assists Chief Legal Officer in workload management and administrative functions. Associate General Counsel Candidate, under the direction of the Chief Legal Officer, has primary responsibility for the legal affairs of one or more firm’s subsidiary health systems and acts as principal legal advisor to the senior management and boards of directors of such system(s). Drafts, reviews and participates in negotiation of contracts, joint ventures and affiliations. Participates in governing board, committee and senior management meetings as needed. Has primary responsibility for revisions to and advice regarding corporate governing documents for firm and all system entities. Provides system leadership for tax-exempt financings and Obligated Group activities. Assists Chief Legal Officer in departmental budget development, workload management and related administrative functions.
Qualification and Experience
Requirements: Assistant General Counsel Candidate should have Graduation from an accredited law school. 4+ years’ experience in a law firm, corporate or public sector setting practicing corporate law, employment law, nonprofit / exempt organizations or general business law, with broad exposure to laws affecting contracts and health care operations is required. Current admission to practice law in at least one state; eligible for licensure in the State of Minnesota is essential. Associate General Counsel Candidate should have Graduation from an accredited law school, admitted to practice in the State of Minnesota. Broad knowledge of all aspects of law affecting health care operations, with 5+ practice in relevant field is essential. Admission to practice law in the State of Minnesota is needed.
