Merger and Acquisition Attorney The candidate will have direct and full responsibility for running Merger and Acquisition transactions to work as part of the corporate team tasked with Merger and Acquisition responsibilities in an in-house CPG setting. Will spend the majority of time working directly with the EVP, Corporate Strategy. Will help to support operational business units as Merger and Acquisition workload allows. Financial transactions to support Treasury function of the company, including negotiating debt instruments with financial institutions. As Merger and Acquisition activity allows, commercial contract review, including copack agreements, agreements with independent farmers, license agreements, joint venture creation and management, supply agreements, equipment and operational purchases and installations, comarketing agreements, sales agreements and other general contracts. Independently manage all legal aspects of Merger and Acquisition with little supervision, including managing outside counsel. Manage all aspects of financial transactions to support Treasury initiatives, including bank financings. Understanding of financial matters and ability to analyze financial statements and financial aspects of transactions.
Qualification and Experience
The candidate should have a four year degree from an accredited college/university and a Law Degree with admission to the state Bar. Must have 7-10 years of substantive mergers and acquisitions experience, including 5+ years at a top law firm. Should be a licensed attorney admitted to practice in the United States. Must have a deep understanding of deals, from non-disclosure agreements and letter of intent to post-close integration and an ability to work on a fast-paced team with competing objectives without the need for detailed supervision. Should have experience in drafting and negotiating financial and commercial agreements, including procurement, licensing, sales and other general contracts. Should have Merger and Acquisition work with direct experience and full responsibility running deals, including letters of intent, confidentiality agreements, managing and evaluating due diligence, negotiating definitive agreements, overseeing HSR filings, managing closing and post-closing matters and business integration. In-house corporate experience preferred, a plus if CPG business. Experience in international deals a plus. Experience with commercial contract review and negotiation is needed.
