Associate General Counsel Candidate will assist the Vice President and General Counsel with directing, implementing, managing, coordinating, overseeing, and supervising all legal matters relating to the Company including, contract and document review, compliance, office leases, intellectual property matters, employment matters, strategic alliances, mergers and acquisitions, and litigation. In consultation with the Vice President and General Counsel advises management on various legal issues relating to the business of the Company. Responsibilities include assistance with risk management and corporate development initiatives. Plans and directs various aspects of the organization’s legal affairs and ensures maximum protection of its legal rights. Provides legal expertise to other departments where needed. Interprets laws, rulings, and regulations for the Company. In consultation with the Vice President and General Counsel, advises the Company concerning transactions of business involving internal affairs, stockholders, directors, officers, and corporate relations with general public. Prepares business contracts and administers other legal matters. Reviews and approves material contracts. Drafts and reviews select Company Policies and Procedures. Reviews client engagement agreements and related documents (confidentiality agreements and nondisclosure agreements). Assists with client-related bankruptcy issues, including appointment of the Company as Ordinary Course Professionals. Maintains board and shareholder minutes. Prepares share transaction documentation and required securities filings. Maintains stock records. Prepares applications for foreign qualifications. Assists Human Resources with compliance and employee relations matters. Reviews material employee benefits documents and agreements. Reviews lease agreements and other facility-related and operations support documents. Reviews construction contracts and estoppel certificates. Oversees copyrights, trademarks, service marks, patents, and other intellectual property matters. Reviews and negotiates software licenses, development agreements, and other IT-related documents. Assists in managing the Company’s relationship with its outside risk management professionals. Oversees the applications and renewal process for the following coverage: Directors and officers, employment practice liability, employed lawyers, fiduciary liability, crime, professional liability, property and casualty, workers’ compensation, and key person life and disability coverage. Advises on select risk management matters. Prepares reports required by the Texas Ethics Commission related to Texas PAC. Oversees preparation of IRS filings. Researches and performs preliminary due diligence on prospects. Facilitates meetings and negotiations. Prepares and negotiates term sheets and definitive documentation. Assists in the negotiation and structuring of senior credit facilities, including appropriate loan covenants. Maintains updated secure electronic data site. Assists with stock transactions. Reviews outside legal counsel invoices. Oversees outside counsel with respect to active litigation. Tracks and monitors outside legal expenses. Trains and manages legal staff. Assists in the establishment of performance goals and objectives for legal staff as requested by the General Counsel. Conducts periodic performance appraisals and recommends salary action for legal staff as requested by the General Counsel. Assists with other projects as needed.
Qualification and Experience
Candidate should have JD degree or equivalent from an accredited law school and license to practice law in the State of Texas required. Membership to the American Bar Association and Association of Corporate Council preferred. 5+ years' related experience and/or training in a similar environment; or equivalent combination of education and experience. Should have intermediate skills in Microsoft Word, Excel, PowerPoint, Access, Outlook, and internet navigation/research.
