Counsel essential job duties/responsibilities: (functions considered essential as defined by ada): Reviews, negotiates and drafts contracts and provides training to business teams; Conducts legal due diligence and HSR filings for possible acquisitions and dispositions and provides occasional assistance with related transaction work; Advise management of legal implications of administrative and operational activities; Plan and develop solutions to existing or potential legal problems involving Companies, and advise management concerning legal rights and obligations; Develop and implement programs, conduct presentations and participate in other activities to educate the Companies’ officers and employees as to the Companies’ Code of Business Conduct, Company policies and procedures and legal compliance requirements. Participate in continuing legal education programs and other activities as necessary to keep informed of developments in the law, new and proposed statutes and regulations, economic and social issues and other matters of interest to the Company and the energy industry. Interfaces with outside counsel on various matters. May administer and manage Foreign Corrupt Practices Act of 1977 ("FCPA") programs. Provides occasional assistance with all or some of the following (training will be provided, as needed): Assists in managing corporate governance and compliance with applicable laws including NYSE and SEC; Assists with Secretary functions for Boards of HollyFrontier Corporation and subsidiaries as needed; Assists in preparing for board and committee meetings, proxy statements and various other SEC filings.
Qualification and Experience
The candidate should have a Jurisprudence Doctorate Degree from an American Bar Association accredited law school. Should have 5+ years of experience as a licensed attorney in applicable discipline. 10+ years of experience as a licensed attorney in an applicable discipline is preferred. Advanced legal drafting and analysis; advanced reading and writing skills; interpersonal, problem solving, research and document review; and word processing skills. Required to be a member of the State Bar of Texas. Ability to effectively communicate with others, both written and verbal communication. Ability to perform basic mathematical calculations.
