Profile

General Counsel The candidate provides legal advice and representation on complex legal matters in support of company. Duties include: providing legal advice and recommendations on a broad array of complex matters such as contracts, corporate compliance, corporate governance, product distribution, business acquisitions, litigation matters, legal audits and investigations, acts as a secretary for Board of Director minute preparations, supervises internal staff and oversees outside counsel, delivers presentations to internal and external audiences and serves as company's representative in relevant organizations. Participates in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters. Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Judges the merits of major court cases filed against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted. Assumes ultimate responsibility for ensuring that company conducts its business in compliance with applicable SEC, et. al. laws and regulations. Structures and manages company's internal legal function and staff. Manages the selection, retention, management and evaluation of all outside counsel. Advises on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities.

Qualification and Experience

The candidate should have a J.D. degree. Should have license to practice law within the U.S. (or ability to obtain admission to the Bar within six months of starting at company). Must have 10+ years of progressive experience with a major law firm or corporate law department with good academic record and demonstrable track record of sounds judgment, integrity and business ethics. Broad overview experience in intellectual property law including patent law, licensing of IP rights and IP due diligence is required. Exposure to and or familiarity with the following areas of law: securities, antitrust, computer law and privacy is needed. Experience in working on matters of corporate governance and with board of directors is essential. Familiarity and understanding of Sarbanes-Oxley and legislation and related FASB revenue recognition guidelines will be critical. Experience in directing strategy and managing complex IP litigation cases is a must.
