Vice President, Counsel - Corporate Executive Legal Responsibilities: Will be expected to serve as a business partner to the business team and a collaborative colleague within the legal department. Draft, review and negotiate complex commercial contracts. Examples include professional services agreements, procurement and vendor supply agreements, confidentiality agreements, licensing arrangements, settlement agreements and other form agreements. Draft miscellaneous corporate maintenance documents such as minutes, resolutions, written consents, powers of attorney, incumbency certificates, delegations of authority, corporate qualifications, withdrawals, mergers, incorporations, dissolutions and other general corporate documents.
Qualification and Experience
Basic Qualifications: Law degree; admission to the Illinois Bar; 3-5 years of in-house corporate/commercial experience, working knowledge and experience in the following substantive areas: contracts, intellectual property, corporate and labor/employment. A corporate generalist with the ability to work independently and manage projects with limited oversight, a high attention to detail and a high level of accuracy in work will be considered. In addition, must be a problem solver who proactively identifies substantive issues and presents viable alternative solutions. Must be highly efficient and able to deal with a large volume of work, possess strong analytical skills, and be able to learn quickly. Exceptional written and oral communication skills are essential as is the ability to work with individuals at all levels both internally and externally.
