Counsel Duties: Responsible for working with the other attorneys and staff in the Office of General Counsel in developing, implementing and managing the provision of legal services to support the business operations of the Company. Provide legal advice and counsel to clients throughout the enterprise on a wide range of issues and topics with a broad range of risks and materiality. Provide support to all areas of the Office of General Counsel as needed, with special emphasis on contract review and administration, real estate and commercial transactions, as well as SEC regulation, SEC filings, litigation, dispute and risk management oversight and corporate governance. Interface with many different individuals internally and externally to the Company. Provide legal advice to key business units and project teams of the Company, including the preparation, review and negotiation of contracts, correspondence, agreements and other legal documents for the Company. Revise and maintain current contract templates and contracting processes and the implementation of those processes. Review contracts to ensure essential language is included to protect the company from unnecessary risks and liabilities. Assist with formation of new entities (e.g., subsidiaries), and on-going documentation, record-keeping and filings (including annual reports) for existing corporate entities in various jurisdictions. Assist in the preparation of corporate legal documents including but not limited to board resolutions, transactions closing documents, securities reports and filings; Assist in claims, litigation and investigation management including tasks such as issuing legal holds, gathering relevant information and other discovery tasks. Remain current on legal trends, laws and regulations and proactively communicate information to other attorneys in Legal Department. Research best practices and advise senior counsel of findings and recommendations. Research and monitor federal and state law and regulations. Assist in the further development of the Company’s policies and procedures. Provide or assist with providing legal and compliance training. Assist in the formation and maintenance of Legal Department files and systems.
Qualification and Experience
Qualifications: J.D. degree from an ABA accredited law school. Licensed member of a State Bar, preferably the North Carolina Bar. 1-4 years' related legal experience in a law firm or company. Technically proficient in multiple areas of the law. Experience related to Contract drafting and review, Real estate transactions, Commercial business transactions, Information technology contracts and related issues, Corporate governance, Legal and best practices research, and Litigation and dispute resolution.
