Profile

Senior Counsel, Legal & Business Affairs Duties: Support Senior Vice President, Legal & Business Affairs in negotiating and reviewing documentation for strategic mergers, acquisitions, joint ventures and strategic partnerships. Includes drafting and negotiation of service and license agreements and term sheets, managing due diligence reviews, and ongoing management of business and legal issues around strategic initiatives. Provide legal, commercial and strategic advice on the development of new and existing digital media products and services, including new video distribution platforms, apps and social media tools and applications. Provide advice on consumer legal issues, including unfair advertising, eCommerce regulations, PCI compliance, and sales tax/VAT issues. Provide advice on privacy-related matters, especially issues related to social media and data collection and retention on digital platforms and services. Coordinate with business and privacy teams on development of data management platform and programmatic advertising initiatives. Structure and negotiate offers for acquisition of distribution rights. Draft and negotiate legal documentation, including term sheets, distribution agreements and ancillary documents related to the acquisition of video, digital and/or games distribution rights from third parties. Supervise renewal of expiring distribution rights, including assignment of projects to paralegal staff, oversight of negotiations and resolution of issues. Resolve legal disputes related to acquired, third party product. Work on special projects. Attend internal and multi-divisional meetings. Report to Senior Vice President, Legal & Business Affairs with status reports and any major issues or questions.

Qualification and Experience

REQUIREMENTS: Four year college degree required. JD degree from accredited U.S. law school required. Must be Member of California Bar (offer contingent upon sitting for, and passing, California State Bar Exam). 3-5 years’ prior experience as an associate in a large law firm practice. Experience with drafting and negotiating commercial contracts and agreements required. Ability to research and analyze legal issues and distill into succinct, business advice. Experience in mergers and acquisitions is preferred.
