Profile

General Counsel The candidate will report to the Site Leader. Will provide legal counsel and assistance to General Management and the various operating divisions to ensure maximum protection of the legal rights of the company, and to ensure operations remain within the limits prescribed by law and the Prime Contract. Manage and administer the Law department. Supervise and direct activities of Law department. Develop and disseminate policy and directions on legal aspects of operating activities for the guidance and control of operating divisions. Represent the company in the negotiation and administration of the Prime Contract, including all changes, modifications, disputes, and related reimbursement authorizations. Counsel with the Federal government agency customer and other federal and state bureaus and agencies. Assist in negotiations as required, and review and approve written agreements, contracts, or other legal instruments involving the rights and obligations of the company. Review current with federal, state, and local judicial decisions, laws, and other regulations affecting the company's operations and provides appropriate guidance. Guide and counsel the business regarding patent, trademark, copyright and procurement matters. Represent the company or collaborates with outside counsel in litigation involving the company and its employees or agents arising from their acts on behalf of the company. Represent the company as required in community and civic activities. Supervise employees on the administration team. Carry out supervisory responsibilities in accordance with the organization's policies and applicable laws. Responsibilities include: interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; rewarding and disciplining employees; and addressing complaints and resolving problems. Monitor activities to ensure they are conducted in a safe and healthy manner and works in accordance with established HS&E requirements to ensure the protection of employees, the public, and the environment. Take actions necessary to 'stop' work when an unsafe condition or action is identified. Interact with Federal government agency customer headquarters, and local field office.

Qualification and Experience

The candidate should have a B.A./B.S. degree and J.D./LL.M. degree from an accredited law school. Advanced degree in business, or sciences preferred. Active license to practice law in any US jurisdiction is required. Must have 6+ years of major law firm, government agency and/or corporate experience. Should also have 6+ years of legal background that includes subject matter expertise in government contracts. Extensive experience in all phases of corporate legal practice including a thorough knowledge of government procurement regulations is preferred. Experience with DEAR and FAR is desired. Legal planning process and road-mapping leadership experience an asset. Experience within Federal government agency programs a plus. Program/project management experience preferred.
