Corporate Counsel I-II The candidate will provide research, factual information, counsel and guidance on legal questions or issues in support of the Commercial Banking and Corporate/Investment Banking lines of business as well as specified regulatory projects and will work under general supervision of a senior attorney. Identify and analyze legal issues to provide advice to clients in the Commercial Banking and Corporate/Investment Banking lines of business on legal matters generally relating to lending, other commercial transactional matters and regulatory matters. Draft, review and revise legal documents and memoranda. Provide full, sound, ethical and prompt legal service and opinions to members of the legal department and/or the Commercial Banking and Corporate/Investment Lines of Business. Produce clear and concise written materials that can be submitted to clients with minimal or no revisions or review by a more senior attorney. Identify and analyze complex or novel matters which have no clear legal/business precedent or have different possible interpretations; develops conclusions, makes recommendations, and provides reliable advice. Will work directly with business clients and develops an understanding of Commercial Banking and Corporate/Investment Lines of Business. Contribute advice and counsel on policy and procedures. May oversee the work of one or more legal assistants or paralegals. Counsels management whenever legally unsound decisions or plans are being made or when changes in the law occur. Identifies issues which do not need legal assistance, by assessing the costs of outside legal services which are required in specific instances, by providing legal services in-house, and by directing and supervising outside counsel to ensure that the fees charged are accurate. Is then responsible for resolving any disputes relating to the fees incurred on that file.
Qualification and Experience
Qualifications Corporate Counsel I: Four year college degree (excellent academic standing). A JD Degree or an LLM (excellent academic standing) from an ABA accredited law school. An active license to practice law in at least one state in the U.S. 3-5 years of experience as an associate attorney (or in-house) documenting and negotiating commercial lending transactions. Experience or familiarity with swaps and documentation of swap transactions is a plus. Strong verbal and written communication skills. Corporate Counsel II: Four year college degree (excellent academic standing). A JD Degree or an LLM (excellent academic standing) from an ABA accredited law school. An active license to practice law in at least one state in the U.S. 6+ years of experience as an associate attorney (or in-house) documenting and negotiating commercial lending transactions. Experience or familiarity with swaps and documentation of swap transactions is a plus. Strong verbal and written communication skills. Four year college degree (excellent academic standing).
