Senior Manager and Senior Corporate Counsel The candidate will report directly to the VP and Deputy General Counsel. Will draft, review, and negotiate a broad range of agreements, including software license, maintenance, cloud computing, mobility, hosting, professional services and other commercial contracts. Assess and advise on liabilities, legal restrictions, and risks of proposed commercial and public sector transactions in the US and Canada and devise creative and practical legal solutions to meet the commercial needs. Interface with various groups domestically and internationally to understand key IP, commercial and finance requirements and ensure contractual terms comply with corporate directives, policies and procedures. Keep abreast of applicable laws, regulations and industry guidance that impact the software, service, cloud and mobility businesses, and assist in the design and implementation of appropriate policies to ensure compliance. Support compliance in day-to-day sales activities, including providing training and counseling to sales professionals and coordinating with other groups within the Legal Department on compliance matters. Collaborate and partner effectively with the business, including providing advice and counsel to executives and sales professionals on issues related to commercial and public sector software licensing, service, cloud and mobility transactions. Manage and develop a talented, geographically dispersed team of attorneys to support the software license, service, cloud computing and mobility sales organizations in the Americas. Manage outside counsel in region as applicable and lead and/or participate in special projects within the Legal Department as assigned, including efforts to develop, implement and enhance processes and policies that improve transaction velocity without material increase in risk.

Qualification and Experience

The candidate should have a J.D. degree from an accredited US law school. Should be a member in good standing of a US State Bar. Must have 10+ years of legal experience at a major law firm and in-house, drafting, managing and negotiating a variety of commercial agreements within the IT sector, with an emphasis on software licensing, service and cloud agreements. Should be an experienced commercial attorney with demonstrated capability handling complex domestic and international legal transactions. Should also be an excellent negotiator with strong influencing skills and experience drafting complex technology contracts. Prior experience managing a team of legal professionals strongly preferred.
