Corporate Counsel Duties: Draft, review and negotiate a high volume of complex, commercial contracts. Will serve as trusted business advisor to sales and finance managers. Review, markup/draft (from forms and from scratch), negotiate and close commercial contracts, including supply agreements, licensing agreements, master services agreements, statements of work, RFP responses, and supporting documents. Provides legal counseling and support on issues related to technology field. Collaborate with and facilitate cross-functional decision-making among the Legal and other teams. Review, markup/draft (from forms and from scratch), negotiate and close commercial contracts, including supply agreements, licensing agreements, master services agreements, statements of work, RFP responses, and supporting documents. Provide rapid, practical, business-oriented commercial contracts advice directly to business clients. Apply innovative problem-solving skills and practical business judgment to optimize benefits, and foster strategic business relationships. Independently manage assigned projects to completion.
Qualification and Experience
Requirements: JD degree, with emphasis on corporate law and regulations. 2-5 years commercial transactions experience. Excellent knowledge of laws and regulations applicable to corporations. Excellent time management, communications, decision making, presentation, and organizational skills. Ability to prioritize multiple tasks, demands and work under pressure. Strong commercial transactional skills including technology and software licensing, expertise or willingness to learn other legal disciplines impacting the technology field, excellent people and time management skills, and pragmatic business judgment.
