Profile

Commercial Counsel Duties: Support the legal needs of the departments with emphasis on the America’s Commercial Team. Assist with the negotiation of financing agreements with various investors for our residential lease program and our commercial and utility scale projects. Advise on and provide support for construction law matters, including risk mitigation, externalizing liabilities, optimizing change order provisions, warranty exposures, insurance. Advise on and provide support for construction related claims and lien issues. Advise on and provide support for real estate, permitting, regulatory and other issues associated with the development phase of solar energy projects. Draft, review and negotiate affiliate/value added reseller agreements, engineering, procurement and construction (EPC) contracts, subcontracts, operation and maintenance (O&M) agreements, service agreements, consulting agreements, solar power purchase agreements (PPA), equipment sales agreements, government grant agreements, and other company contracts. Supervise legal matters associated with firm’s residential lease program. Draft, review and revise homeowner contracts. Provide legal assistance with respect to claims and operational concerns. Maintain and implement company contracts and licensing processes. Supervise other legal matters associated with rooftop residential, rooftop and ground commercial and utility scale solar installations.

Qualification and Experience

Requirements: J.D. degree from a top tier law school; Currently licensed to practice law; 4 years of legal experience, preferably in the energy, construction and/or power project development industries; Capable of identifying and resolving legal and business issues, appropriately balancing legal issues with business risk in support of firm’s business; Must be self-motivated and comfortable in a fast-paced, high growth-company environment; and Must be able to coordinate and communicate complex legal issues to multiple groups and business units within and outside firm. Familiarity with structured and project finance transactions. Experience in the legal fields of construction, including construction related claims, energy, including renewable energy, development, real estate and/or structured and project finance. A background that incorporates a mixture of law firm and in house experience.
