Legal Manager Duties: To provide legal and compliance support in the overall delivery of the objectives of the UK & Africa Region (including Norway). Responsible for contract review of operational contracts and supply chain contracts. Advise on all Company Secretarial work. Establish and maintain internal and external client relationships. Manage compliance policies and procedures. Management and supervision of Legal and Compliance Team. Manage Insurance issues in UK & Africa. Draft and review all legal documents at a corporate level relating to Joint Ventures, new business agreements, mergers and acquisitions. Counsel to Business Board. Corporate governance and company secretarial. Regular reporting to VP Finance, UK & Africa. Ensure the Business Board are kept updated on legal/contractual and compliance issues and make their policy decisions based on relevant and up to date information. Manage Contract Engineers and assist with bids and tenders. Develop and maintain client relationships both internally and externally. Support Contract Engineers/trainees and other legal team member. Manage training of both Scots and English trained legal trainees. Build closer working relationships within the department and with the broader client base. Provide legal advice for all relevant jurisdictions, establish and manage relationships with external lawyers. Review the enforceability of the legal instructions and advice given. Ensure the understanding of legal documents and the commercial reasons for doing so. Reviewing, drafting and negotiating in areas such as intellectual property, patents and in relation to the property portfolio. Manage Stork compliance policies and responsible for investigating whistleblow reports. Responsible for monthly legal risk management reports to Head of Legal Utrecht. Export Control management. Anti-bribery annual training. Formal responsibility for insurance support in UK & Africa: managing discussions with brokers at renewal in support of Corporate and for managing claims. Managing property portfolio in UK/Africa and in Norway. Managing IPR under direction from Head office in Utrecht. Distributorships and agents: responsible for implementing and managing Stork policies. Manage litigation on behalf of company. Providing employment advice internally in support of HR Team and managing relationship with external employment law advisors. Manage acquisitions/disposals and joint ventures/collaborations. Audit Support where required.
Qualification and Experience
Requirements: Law Degree, LLB, Qualified Solicitor – Scotland/England. Member of the Law Society of Scotland/England. 10 years post qualification experience. Experience gained in private practice or industry. Commercial/Legal/Contract/Compliance experience.
