Corporate Counsel The candidate will provide advice and counsel on general corporate legal matters including corporate governance and securities matters, public company reporting and disclosure, employment law, compensation and benefits, and other general legal advice to the business. Will assist in corporate transactions such investments, acquisitions, financing and other strategic transactions, including conducting due diligence and drafting and negotiating agreements. Additionally, take part in worldwide subsidiary management and commit to developing corporate policies and procedures. Report to the Vice President of Corporate Affairs and Assistant Secretary. Current member in good standing of the California State Bar is essential. Law degree from top law school with excellent academic credentials is essential. Should have 3-5 years of relevant law firm and/or in-house experience. Experience with United States securities laws, compliance and disclosure obligations, executive compensation and corporate governance rules is essential. Hands on experience in M&A and corporate finance is essential. Experience establishing and maintaining corporate entities, including Board and shareholder actions and meetings is considered. Experience in working with senior management and ability to work well with and relate to company personnel at all levels is essential. Excellent legal and business discernment is essential.
