Senior Corporate Counsel The candidate will manage business contracts and negotiations, formulate policies to ensure legal and contract compliance, manage resolutions of disputes, and contribute to the formulation of business strategy. Oversees, prepares and negotiates legal documents including software licenses, services agreements, vendor contracts, and nondisclosure agreements. Manages the legal activities, of the company with the objective of protecting the company's interests and providing assistance to managers concerning how laws and regulations impact functional areas. Manage all documents through the legal process. Prepares and reviews proposed contracts, leases, formal agreements and other legal instruments. Manages license compliance, audits of customers. On a daily basis manages all software licensing activities and software contract activities. Partners closely with Sales, Finance and HR. Must have 7+ years of software licensing and contract experience and some employment law experience. Should have JD from an accredited law school and current bar membership. International business experience and foreign language skills are an advantage. Software licensing and service contract experience is essential. Should have experience with emphasis on software law, IP rights, employment law, and compliance regulations licensing and commercial transactions. Knowledge of financial revenue recognition rules is essential. Member in good standing of a State Bar - Arizona or California bar a plus.
