Corporate Legal Responsibilities: Advise on a range of often complex equity and securities issues (including financings and mergers and acquisitions). Corporate governance for and subsidiaries and joint ventures. Lead contract drafting and negotiating. Assist in management and day-to-day administration of equity portfolio. Pick up a broom and help out on issues across the company.
Qualification and Experience
Requirements:). Strong academic record and JD from a top law school. Exceptional communication and interpersonal skills. 2-7+ years as a securities attorney at a top firm or in-house. Experience with SEC reporting requirements, venture-backed financings, M&A, corporate governance, board matters, and equity plan administration. Demonstrated ability to develop creative solutions to novel issues. Extremely well organized with a proven ability to multitask in a fast-paced environment. Strong attention to detail. Preferred: Experience in a start-up or high tech environment. Passion for technology. Experience with public company filings.
