Legal Counsel, Temporary Duties: Functions as part of an integrated global team with the opportunity to contribute to the growth and success of both regionally and globally. Reporting to the Regional General Counsel – Americas, develops best in class internal legal support for the region of the Americas, collaborating with colleagues in North and South America, as part of a proactive and agile team providing legal support to the businesses in the region that is aligned with the business strategy. Plays a key role in collaborating with colleagues in the global legal organization (including the UK and Germany) to support businesses and functions through a business partner approach. Play an important role in working with the Regional General Counsel for the Americas to support roll-out of a new license agreement to approximately 10,000 customers worldwide.. Provide project management and support in connection with reorganisaation of the sales and licensing workflow on a global basis.. Provide support to the US Sales group on site licensing to public and private institutions. Be an effective trusted advisor and business partner to businesses by providing commercial and strategic advice which is sensitive to the objectives of the business strategy. Provide advice at all levels of the organization, at both an executive and operational level which is accessible, commercial and technically strong across a full range of legal issues including:. Drafting new agreements/review of existing agreements. Reviewing, drafting, negotiating and advising on commercial contracts, including the acquisition and exploitation of intellectual property rights (including licences and a variety of publishing contracts), and general commercial contracts. new workflows and tools to enable effective management of legal issues and risks thereby freeing the legal team to concentrate on higher risk/higher value items. Contribute to legal strategy and knowledge development. Provide training to the business on legal matters in a commercial and accessible manner.
Qualification and Experience
Requirements: JD Degree or equivalent. Admitted Attorney & Member of New York State Bar. Languages including German and/or Spanish are desired. In-house experience in international businesses in a publishing/media/IP environment and/or private practice experience with a general corporate/commercial/IP background. Expertise required. Strong project management skills. Licensing complex portfolio of IP products to public and private institutions. Publishing and media law, including copyright, defamation, rights of privacy and publicity, internet and social media desired. General commercial contracts. Expertise in federal and state contracting desired. Excellent commercial awareness. The ability to manage organizational change. The ability to foster alignment and influence decision making. Strong technical legal skills. Good legal research, analysis and drafting skills. The ability to provide clear, accurate and consistent advice. Efficient, rigorous, well-organized with good attention to detail and persistence in problem solving. Excellent communication (verbal, written and presentation) skills with an open, direct communication style and willingness to engage in constructive debate. General facility with MS Office programs. High level of integrity and confidentiality.
