Legal Counsel The candidate will report to the Senior Counsel – Head of the Americas (Commercial) Legal team and will be primarily responsible for the following: negotiating various agreements with external clients and vendors; providing legal and business counsel to internal clients to resolve issues; managing external counsel (as applicable); ensuring that all agreements are concluded in accordance with company’ corporate risk parameters and policies and working or leading various department and organization projects as assigned. Must have 5 years’ legal work experience after law school graduation. Should have J.D. from an accredited law school; with strong academic performance. Must be a member of a State Bar. Must be blend of relevant law firm and in-house experience; preferably transactional IP/IT focused with at least 2 years of prior in-house experience. Should have excellent drafting skills: demonstrated experience with commercial transactions, specifically the drafting and negotiation to, the following types of agreements: complex master outsourcing services and technology-related agreements; software licensing agreements; reseller agreements; sponsorship and marketing agreements; teaming agreements; RFPs and RFIs; settlement agreements ; non-disclosure agreements; statement of work(s); subcontractor agreements; and cloud hosted services agreements. Background in outsourcing, information technology, data privacy, intellectual property, software licensing, marketing/advertising law, SaaS is preferred. Must have experience overseeing and closing multiple projects and transactions. Fluency in Spanish and Portuguese is preferred.
