Software Licensing Attorney The candidate's principal duties and responsibilities: Negotiate, draft and review a broad range of commercial contracts: master services agreements and related scopes of work, technology agreements, marketing agreements, publishing agreements, and real estate related agreements. Provide legal support to all internal teams, including Sales, Partnerships and Infrastructure. Review, negotiate and perform risk analysis of technology transaction agreements including SaaS/client agreements, inbound licensing, end user license agreements and subscription agreements. Advise management with respect to all aspects of commercial contracts affecting the business, including negotiation, strategy, operational details and risk management. Develop, review and implement contract management policies, procedures, and standards of conduct. Prepare and revise standard templates for recurring commercial transactions and addressing new legal issues and/or new areas of business for the Company. Ability to work with business partners to streamline and drive the full contract cycle. Coordinate with external legal resources as needed.
Qualification and Experience
The candidate should have Juris Doctor degree or its equivalent, and 4-6 years of relevant experience as a contracts attorney in private practice at a major law firm or corporation. Licensed to practice law in either California or New York. Ability to communicate effectively, both orally and in writing. Excellent interpersonal, drafting and negotiation skills. Exceptional academic credentials. In-house experience as a contracts attorney are preferred. Should possess 4-6 years of experience in drafting, reviewing, negotiating and advising on a variety of transactions such as software development contacts, equipment leasing, services and consulting agreements, and licensing agreements. Should also possess strong commercial contracts experience, including reviewing, revising, drafting, negotiating and advising on sophisticated and complex contracts such as services agreements, marketing agreements, professional services agreements, technology agreements, partner and vendor agreements. Ability to provide competent legal advice and counsel to senior corporate on a wide range of commercial contracts issues to help the company meet its business objectives. Experience with contracts management system. Outstanding organizational skills and ability to manage fast-paced workload and complete multiple assignments and projects in a timely manner. Ability to deal with a broad range of legal and business matters.
