Corporate Counsel – Securities, Transactions & M&A Duties: Provides full legal services to for Securities, M&A, Regulatory, and other general transactional matters. Work assignments consisting of major legal tasks involving problems of high complexity and facts that are often in question for which considerable legal judgment, experience and independent reasoning are required. Drives development and implementation of strategic and operational objectives with significant impact on the short-term and long-term success of legal support to assigned business lines, as well as corporate functions, and significant impact on the long-term success of the company. Counsels management on matters of legal risk and obligation primarily pertaining to Securities, M&A, Regulatory and other general transactional matters. Anticipates and responds to inquiries regarding business practices and evaluates possible resulting legal implications related to areas of expertise. Provides legal support in areas of expertise to assist assigned business lines and corporate functions in business decisions and strategies. Leads, directs and holds full management accountability for staff in areas of responsibility, with an emphasis on talent management and succession planning in accordance with corporate strategic direction. Provides research, legal analysis, counsel and guidance on legal questions or issues. Provides opinions and/or prepares position papers on various legal issues and interpretation of securities laws and contractual provisions. Reviews, drafts and negotiates contracts within areas of responsibility. Monitors legal and regulatory developments in areas of responsibility; counsels management regarding changes, impacts and revised approaches. May supervise outside counsel in areas of responsibility and in the pursuit or defense of issues in litigation or alternative dispute resolution proceedings. May train department staff on areas of responsibility, including securities and corporate governance matters. Responds to government agencies. Extensive interface with legislative and regulatory developments.

Qualification and Experience

Qualifications: Bachelor’s degree with JD and a license to practice law in at least one jurisdiction. Master’s preferred in a related discipline, or equivalent. 7+ years of legal work experience in key specialties, with seven years management experience preferred. Applicable certifications preferred. Mastery of a discipline, professional field or formal body of knowledge, i.e., securities, M&A, insurance regulatory matters, and in depth understanding of the critical issues in other related areas such as insurance operations or corporate business functions. Advanced communication skills which are critical to building consensus across area of influence (external and/or internal relationships), team and/or matrix environment. Strong leadership and management skills demonstrating integrity and professionalism. Ability to drive results by identifying and resolving significant problems within scope of responsibility. Senior level knowledge of the insurance industry, its products and services. Knowledge of Microsoft Office Suite and other business-related software.
