Corporate Attorney The candidate will focus primarily on drafting, review and negotiation of contracts, including distribution agreements, license agreements, government contracts, pricing agreements, GPO and IDN agreements, service agreements, quality and regulatory agreements, and other contracts. Will draft, review and negotiate contracts. Provide legal counsel to division presidents, managers and other business leaders covering multiple disciplines (corporate/transactional, employment, dispute resolution, etc.). Counsel and assist on acquisitions. Resolve complex legal matters in various practice areas. Assist on legal compliance issues. Draft SEC Reports (e.g., Forms 10-K, 10-Q, and 8-K), depending on SEC experience. Draft employment agreements, separation agreements and other employment-related documents. Assist in resolution of commercial disputes including litigation oversight. Review and analyze laws, rules and regulations.
Qualification and Experience
The candidate should have a J.D. degree. Must have 5+ years of legal experience in a law firm and/or in-house legal department. Should have experience drafting and negotiating complex legal agreements. M&A and SEC experience helpful. Employment law experience is an asset. Health care experience is preferred, particularly with respect to medical device manufacturers.
