Corporate Counsel The candidate will provide high quality oral and written legal advice in a cost-effective manner to internal clients. Will serve as legal and business adviser to business partners on compliance with law and existing corporate policies. Recommend practical courses of action to achieve client goals within the scope of what is legally permissible. Responsible for drafting, negotiating and managing technology procurement and general procurement agreements. Responsible for drafting, reviewing and negotiating service agreements, sale agreements, license agreements, royalty agreements, general procurement agreements and a variety of other vendor/corporate contracts, and guiding colleagues and management through the various stages of the contract process, to include driving planning, collaboration, contractual strategy, negotiation, execution and storage of documents. Regular interface with a highly collaborative and interactive legal / business team. Regular interaction with business clients, management and outside customers and vendors in regard to drafting and negotiating complex commercial agreements and transactions. Provide legal expertise to mergers and acquisitions transactions. Assign, direct and review the work of paralegal as assigned. May prepare and conduct training sessions for internal clients. Maintain current knowledge of legal issues and developments in the law. Support corporate activities relating to maintenance of corporate subsidiaries. Support corporate activities relating to IP registration applications and third party product/ open source compliance reviews. Support corporate activities relating to filing and record keeping. Performs due diligence review for corporate acquisitions, helps manage integration and transition issues. Handling and resolution of disputes. Pending litigation in most circumstances will be handled by outside counsel under direction of regional corporate counsel and general counsel/ Assist and help manage protection of intellectual property, including prosecution of trademark and patent applications, copyright protection, and trade secret protection.Patent and trademark application prosecution will be handled by outside counsel under direction of in-house counsel position. Significant intellectual property experience required. Oversight on international legal matters, including import/export restrictions, contracts, employment, IP protection, M&A, distribution and manufacturing relationships. Providing assistance in managing corporate matters of foreign subsidiaries. Oversight on regulatory compliance matters, including federal and state legislation. Assist the Human Resources Department in assessing employment issues such as employee discharge and recruitment, affirmative action plan development and related regulatory compliance, review of employee compensation and benefits programs and plans, and principal and agency issues.
Qualification and Experience
The candidate should have Juris Doctorate degree, licensed to practice in the state of California (or other in-house practice requirements otherwise met from licensing outside of state). Should have 4+ years’ relevant experience. Knowledge and experience regarding contracts; corporations and corporate governance, and compliance programs is essential. Past experience in intellectual property transactional work and product due diligence reviews is essential. Strong written and oral communication skill is essential. Strong contracts management background is preferred. Strong computer skills is required, including Word, Excel, PowerPoint, internet and legal research resources. Should have strong customer relation/service experience.
