Senior Securities Counsel Duties: Reporting to the General Counsel, the Senior Securities Counsel will be exposed to a broad range of legal activities in a global environment requiring a thorough understanding of General Cable’s diverse businesses. Overseeing all SEC reporting and compliance matters, providing advice regarding executive compensation, and supporting the corporate finance function. Will work with various levels of management and the Strategic Leadership Team and will have outside contact with law firms, vendors and suppliers. Corporate paralegal as a direct report. SEC Reporting. Preparing and filing all required reports with the Securities and Exchange Commission (SEC), including Forms 10-K, 10-Q, 8-K and 11-K. Accountable for developing the annual proxy statement, registration statements and preparing and filing all Section 16 reports for Directors and Officers. Corporate Governance. Act as the Assistant Corporate Secretary, including preparation and drafting of parent and subsidiary meeting materials, minutes and resolutions, corporate governance and compliance filings. Oversight of Company transfer agent and global subsidiary corporate records management. Executive Compensation. Provide support to the Compensation Committee of the Board of Directors, the Chief Human Resources Officer and Director of Compensation and Benefits on executive compensation related matters, including preparation of the annual Proxy Statement and advice regarding administration of the employee stock purchase plan, Annual Incentive Plan and equity compensation plans. Corporate Finance. Provide support on corporate finance matters, including review and negotiation of parent company guaranties, intercompany loan documents, supporting debt and equity offerings, compliance with financial covenants and other related matters.
Qualification and Experience
Requirements: JD Degree from a leading law school. Active license, in good standing, to practice law in any state in U.S. with eligibility to obtain Kentucky limited in-house counsel license. 10 years of general corporate experience, with substantive expertise in ’34 Act and ’33 Act matters and corporate governance/subsidiary management, either in-house or in a law firm. . Experience with executive compensation, M&A and finance transactions is not required, but a desire to grow in these areas is necessary. Experience in corporate in-house setting preferred. Manufacturing industry experience preferred.
