Senior Associate Corporate Counsel The candidate will join the Legal department as a Senior Associate Corporate Counsel in the Worldwide Sales Legal Team. Will report to the Assistant General Counsel and Director in the Worldwide Sales Legal Team. Provide transactional support for the software licensing and services business in a designated region of the United States, provide legal advice and counsel to internal clients at all levels in the associated region, and support day-to-day initiatives and long-term strategies of company. Assess and advise on liabilities and legal restrictions and risks of proposed commercial transactions and devise creative and practical legal solutions to meet the commercial needs. Draft, review, and negotiate a broad range of commercial agreements, including software licensing, support services, cloud computing and nondisclosure agreements. Interface with various groups within company to understand key IP, commercial and finance requirements and ensure commercial contract terms comply with corporate directives, policies and procedures. Keep abreast of applicable laws, regulations and industry guidance that impact commercial agreements. Collaborate and partner effectively with the business, including providing advice and counsel to executives and sales professionals on issues related to commercial licensing and service transactions. Act as a fiduciary for the company driving compliance in day-to-day sales activities, including providing training and counseling to sales professionals and coordinating with other groups within the company Legal Department on compliance matters. Assist with legal department projects as assigned, including efforts to develop, implement and enhance processes that improve transaction velocity without material increases in risk.
Qualification and Experience
The candidate should have J.D. from an accredited U.S. law school required. Must have excellent academic performance. Should be Member of a State Bar in good standing. Should have 3-7 years of transactional legal experience comprised of time spent at a major law firm or in-house with a high tech company. In-house legal experience is preferred. Must have high volume commercial transactions experience with a software company of similar size and scale to company, including experience with licensing and/or services sales agreements. Should have an excellent negotiator with strong influencing skills experienced at drafting commercial contracts. Must have demonstrated capability in creating and negotiating complex legal transactions in addition to typical sales agreements. Excellent written and oral communication skills, interpersonal skills, and leadership skills are needed.
