Profile

General Counsel The candidate will provide with legal advice and support on commercial matters, employment matters, dispute resolution, and compliance. Lead, manage, and develop the legal function for company. Consistently anticipate, provide timely evaluation, propose mitigation strategies for and advise management of potential risks in contractual, regulatory, compliance, intellectual property, employment, and legal areas. Develop, implement, improve and review legal and compliance processes, procedures and training. Coordinate and implement corporate governance initiatives. Serve as Chief Compliance Officer assuring regulatory compliance in all matters. Oversee the management of all litigation, disputes, and investigations providing timely guidance to management of potential liabilities and mitigation strategies. Draft, negotiate and review commercial contracts, including but not limited to, agreements relating to direct licensing, distribution, consulting, confidentiality and other business and legal documents. Manage and develop productive relationships with outside counsel, where necessary, to cost-effectively and efficiently manage the company’s global business needs and relationships.

Qualification and Experience

The candidate should have JD Degree. Must have 8+ years experience in General Corporate Governance, Dispute Resolution, Securities Law Compliance, IP Strategy, Mergers and Acquisitions and Privacy. Prior experience as General Counsel is desirable. Experience in negotiating a diverse range of commercial, media and intellectual property agreements with clients, suppliers and multinational procurement departments. Experience and knowledge of key legal principles in relation to contract law, privacy law, intellectual property, company law, competition law and dispute resolution and litigation. Experience in risk management and developing and managing compliance programs, including the drafting of policies and procedures, creating and organizing training. Experience managing external legal counsel with an understanding and ability to manage and maximize these relationships in a cost-effective manner. Good knowledge of company law and corporate governance. Excellent legal drafting and business writing skills and an understanding of how to communicate appropriately in different situations. Excellent oral communication skills, both in terms of working with colleagues and being able to communicate clearly, independently, effectively and confidently with senior management. Good understanding of financial principles applicable to a global company. Excellent personal skills and proven ability to collaborate and build positive and productive relationships with colleagues and clients. High customer service ethic. Solutions-focused and commercial.
