Assistant Counsel - Corporate The candidate will assist with formation, governance and ongoing compliance of subsidiaries (both U.S. and international), as well as to support general corporate governance and transactional matters from time to time. Will work directly with outside counsel to manage formation of international subsidiaries and ongoing compliance requirements, including local filings, powers of attorney, minutes and intercompany loans. Support ongoing subsidiary corporate governance issues. Provide support to corporate legal team with respect to governance matters generally, SEC 1934 Act compliance and transactional matters as needed.
Qualification and Experience
The candidate should have J.D. Degree. Must have 1-3 years of corporate legal experience, law firm or in-house. Experience with forming subsidiaries and general corporate governance matters preferred. Must be admitted to practice law and a member in good stating of a State Bar. Must have computer Skills: MS Office (Word, Excel, Outlook, etc.).
