Corporate Counsel - Attorney Responsibilities: Negotiate and draft a broad range of commercial contracts to support business functions, including product, development, marketing, accounting, finance, and human resources, advising management on contract status, legal risks and business terms of transactions. Enforce and improve business processes for support, negotiation, approval and execution of non-customer commercial contracts. Support customer contract operations when needed, including handling escalations and negotiations during high-volume periods. Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes, and offer appropriate solutions to complex legal questions. Assist with due diligence reviews of target companies in M&A transactions. Assist with integration of operations of acquired entities. Review company programs and materials to ensure compliance with legal requirements. Assist senior counsel in supporting and managing investigation of, responses to, and settlement and resolution of third party claims and litigation. Assist senior counsel with development, enforcement and training on company legal and corporate governance policies to ensure continued compliance in a complex and dynamic regulatory environment. Assist senior counsel with legal support of SEC reporting and compliance, including Section 16 reporting. Contribute to other Legal team goals and initiatives as needed; support and manage the much broader range of ongoing in-house legal matters.
Qualification and Experience
Qualifications: JD Degree and bachelor’s degrees from U.S. accredited institutions. Bar membership in at least one U.S. jurisdiction. 3-5 years of post-J.D. experience with a large law firm or corporation, with transaction focus; corporate and securities focus is preferred. Ability to embrace and adhere to the Q2 guiding principles. Demonstrated ability to prioritize in a fast-paced environment, with the ability to adjust quickly to changing work priorities. Ability to develop innovative solutions to legal issues in support of strategic business initiatives and objectives. Trustworthy team player. Excellent oral and written communication and organizational skills. Effective leadership, advocacy, and interpersonal skills.
