Corporate Counsel, Mergers and Acquisitions The candidate will be responsible for providing legal support for mergers, acquisitions, divestitures, joint ventures and other major corporate transactions including due diligence, contract drafting and negotiation, transaction closing and integration activities, under the supervision of the Assistant General Counsel, Transactions and Corporate. Will also support certain corporate functions. Advise businesses on M&A transactions and manage M&A transaction processes. Perform or oversee due diligence investigations and reviews of businesses being considered for transactions in order to obtain an understanding of relevant operations and risks. Provide legal advice and support to firm’s corporate functions as requested. Manage and supervise outside counsel as necessary, ensuring clarity of instruction and efficiency on cost management. As requested, support commercial legal operations from time to time, including commercial contracts, sales, marketing, and promotional activities. Participate in implementation of Legal Department strategy, administration, and improvement initiatives as appropriate. Act as liaison to Company Secretariat. Reports to Assistant General Counsel – Transactions and Corporate. Routine contact with all levels of internal staff and management. And routine contact with outside counsel, distributors, service providers, and others outside the company. Bachelor’s degree and appropriate legal training is essential. Should be admitted to practice law in the UK, US or an EU member state with 7+ years of experience practicing as a lawyer, with demonstrated progression through increasing levels of responsibility. Experience in the Healthcare Industry (Device, Pharma or Biotech) is preferable.
