Director/VP of Strategy and Business Development Duties: Reporting to the Chief Executive Officer, the Director/Vice President of Strategy and Business Development will impact the organization's corporate development by leading and performing planning and structuring of transactions, negotiations, opportunity identifications and valuations towards achieving growth through mergers & acquisitions, integrations, and divestitures. Lead and perform planning and structuring of transactions, negotiations, opportunity identification and valuation to enhance the value of the overall business whereby spending 60% of transaction time on execution and 40% on strategy. Work with key executive stakeholders including CEO, board and senior management team to set the overall global business and corporate development and competitive intelligence strategy for the Company. Provide strategic advice to boards, actively manage portfolios, divest non-core assets and pursue acquisitions to transform company’s market position. Drive strategy to accelerate growth. Drive the alignment of the M&A process with corporate strategy. Perform due diligence on leading candidates and lead cross-function team performing the due diligence. Act as lead for deal structuring and negotiation – serve as primary contact in negotiations and dealings with external advisors. Lead cross-functional (Sales, IT, Legal, Tax, Treasury, HR, etc.) teams in the detailed assessment of corporate development candidate viability. Collaborate with the Legal department regarding tax diligence, tax structuring and board and stakeholder approval. Collaborate with the Sales and Marketing departments regarding opportunity analysis, portfolio asset valuation review and commercial diligence. Create deal value by committing to a disciplined, repeatable and continually improving approach through the strategic alignment with broader business goals, well-documented transaction processes and close relationships between corporate development and the rest of the organization. Lead on a full range of capital allocation decisions; raising, investing, preserving and optimizing capital. Leverage data analytics to achieve a better understanding of competitive position.
Qualification and Experience
Qualifications: MBA degree; Juris Doctorate preferred. Requires understanding of valuation techniques and related financial theory. 7-10 years of related Corporate Development experience; including management of a small team and a combination of investment banking, VC, Corporate BD and/or operations, management consulting. Expertise in technology, Telecommunications industry experience preferred. Proven experience emulating best practices for Corporate Development. Able to use advanced analytics of big data, mining vast amounts of structured and unstructured information and turn them to a commercial advantage. A portfolio approach to M&A, by taking a balanced look at the business as a whole. Computer literate; MS Office.
