Tax Manager, M&A The candidate will support all tax aspects of acquisitions, investments, and corporate restructurings, including due diligence, negotiation, structuring and post-close integration matters. Advice and coordinate across a multi-functional M&A team, including corporate development, legal, HR, accounting, finance and business teams. Responsible for research, analysis, and documentation of federal (domestic and international) tax issues, including coordination with external advisors and will support financial modeling and presentations of tax structuring impacts. Project manage tax aspects of transactions across the world-wide corporate tax group by coordination with subject matter experts in tax accounting, tax reporting, tax controversy and tax planning functions. Implement and execute organizational processes to help the Tax M&A team meet its goal of best-in-class post-closing compliance and integration. Support and assist in project managing internal restructurings of Amazon business units and potentially other special projects. Keep current on all legislative and regulatory initiatives affecting the tax aspects of acquisitions, investments, and corporate restructurings. Participate in a Mergers and Acquisitions team, focusing on the tax aspects of acquisitions, investments and post-closing integration. Manage and coordinate corporate tax projects, with a focus on Mergers and Acquisitions. Provide tax advice with respect to corporate tax issues. Coordinate communications with business teams, internal tax functional subject matter experts, and create and support cross functional communication tools.
Qualification and Experience
The candidate should have a J.D. degree or C.P.A. with 4+ years of relevant experience in taxation of M&A and/or corporate transactions. BA/BS degree is required. Must have 4-6 years of experience. Experience in working in a large public accounting, law firm, or large multi-national corporation a plus. Strong experience in mergers and acquisitions and outbound taxation concepts is desirable. Must have excellent project management and technology skills, including advanced Excel and modeling skills, and will create processes and implement technology that will help the M&A team continue to scale up to meet increasing demands. Should have working knowledge of corporate tax laws, including domestic and international, state and local. Strong communication skills and ability to articulate complex tax laws in a business setting is must. Strong technical, analytical and problem solving ability is needed. Strong project management skills are desired. Strong technical writing and federal/international tax research skills are preferred. Advanced Excel and modeling skills are desirable.
