Corporate Counsel The candidate will provide advice and counsel directly to the shareholders and senior management on all matters that affect the company including regulatory and compliance, litigation, real estate, insurance, title, and employment matters. Will assist in the resolution of all corporate problems and concerns. Negotiate and review complex contracts and agreements for execution by management, including master service agreements, warehouse agreements, software agreements, non-disclosure agreements, operating agreements, and vendor agreements. Create, draft, and edit company policies for review and adoption by senior management. Ensure compliance with all company and legal policies. Actively litigate and settle appropriate matters in-house. Actively monitor and strategize with outside litigation counsel to ensure cost-efficient representation. Craft solutions to legal and regulatory issues in compliance with federal and state regulations. Provide counseling and support to the Human Resources Department for the following: day to day employee relations matters, disciplinary matters, hiring issues, reasonable accommodations, disability, performance management, terminations, investigations, and reductions in force. Draft, revise, and counsel on all employment related issues including offer letters, separation agreements, employee handbook, confidentiality, arbitration, and non-compete agreements. Provide training to Human Resources and management related to employment law. Should have a J.D. degree from an ABA accredited law school. Membership in the New Jersey Bar Association is required to be in good standing. Real estate law and mortgage experience is a must.
