Managing Counsel - Business Litigation The candidate will report to the Corporate Manager – Assistant General Counsel for Business Litigation. Will support firm, Scion and Lexus sales operations and retail market development business units by providing timely, ongoing, on-demand legal counsel and strategic guidance related to dealer-distributor franchise laws and issues. Provide legal advice relating to wholesale distribution, warranty and service, marketing and bonus and incentives obligations. Research, monitor and analyze automotive dealer franchise laws and regulations and advise relevant management of the degree of risk associated with proposed retail network initiatives, corporate activities and industry developments. Advise state government relations group on legislative and policy matters, including proposed legislation involving automotive franchise issues, warranty, wholesale distribution and other dealer-distributor relationship issues. Evaluate and provide tactical and strategic advice and manage litigation involving dealer-distributor disputes and related matters; negotiate and draft settlements and other resolution documents. Supervise and direct outside counsel in litigated and non-litigated matters. Train field and HQ personnel in relevant legal issues and communication skills.
Qualification and Experience
The candidate must have Juris Doctor degree from an ABA-accredited law school and admission to the California State Bar or admission to a U.S. State Bar and able to obtain immediately authorization to practice in California as registered in-house counsel; also must be able to obtain license to practice in Texas. Should have 8+ years of experience at a major law firm or in a corporate law department litigating complex matters, such as commercial, franchise, antitrust, product liability, and/or class action cases. Case management experience, including experience in development of case and litigation strategies, selection and management of expert consultants, discovery strategy, trial preparation, settlement negotiations, mediations, arbitrations and trials is needed. Significant experience in automotive franchise and/or general franchise matters, including franchise litigation in state and federal courts and administrative agencies is preferred. Solid understanding and experience in dealer-distributor franchise law and issues is a plus. Experience with distribution and antitrust laws is desired. Experience with retail distribution issues is preferred.
