Senior Counsel, Content Acquisition The candidate will provide legal support and knowledge of a legal specialty for non-routine matters affecting one or more of the business units and/or corporate headquarters. Provide advice and recommendation on complex issues that have or may have a significant impact on business activities and operations. Operate with minimal supervision and regarded as a subject matter expert. Research legal principles and precedents. Supervise outside counsel on non-routine matters within the scope of subject matter expertise. Draft, review, and negotiate a wide range of commercial agreements, including, complex content acquisition and distribution agreements, services and other agreements for cable, broadcast, Internet and advanced broadband products and services and related businesses. Manage compliance with various regulatory obligations, and occasionally manage litigation in content and programming areas. Provide legal advice to Cable Division executives on day to day licensing and content matters, including licensing and regulatory issues that relate to traditional cable offerings, new media products, and other distribution and content offerings. Provide legal counsel in a particular subject area of expertise and/or to a specific business unit or units. Dispense legal knowledge and expertise impacting business operations. Work closely with executives and management. Perform legal research when and as necessary to resolve legal issues and determine the appropriate course of action regarding a particular issue/case. Consult with and supervise outside counsel to develop legal strategies and resolve issues in non-routine matters. Operate with minimal supervision and coordinates legal functions with other departments affected by the matter/issue. Provide mentorship and guidance to junior level attorneys and may have direct management responsibilities for non-attorney legal specialists. Consistent exercise of sound judgment and discretion in all matters. Regular, consistent, and punctual attendance. The candidate should have Juris Doctor (J.D. degree). Should have Bachelors degree. Law Degree is needed. Top 20% of class and law review preferred. Must be member of a state Bar in good standing, and eligible for Pennsylvania Bar or Pennsylvania Limited In-House Corporate Counsel License. Must have 5-8 years of related experience. Must have 7 years of combined experience with a recognized law firm and/or corporate legal department experience. Must have substantial knowledge of licensing and other commercial and transactional arrangements required (helpful areas include linear cable television licensing and other video programming and music licensing, new media content technologies and systems (video-on-demand, digital rights management, and authentication), Internet and e-commerce law, and commercial agreements, retransmission consent, copyright, and pay-per-view transactions). Excellent drafting, negotiating, problem solving, and communications skills are needed. Must have familiarity with the cable and broadband businesses and new media technology (video and content distribution (including transactional and subscription-based offerings), high speed Internet, video on demand, digital video recorders, high definition TV, and advertising) a strong plus. Familiarity and experience with litigation, antitrust, FCC and FTC regulatory, and entertainment law a strong plus.
