Profile

Legal Counsel The candidate will report directly to the Director and Associate General Counsel for Software, Cloud and Open Source. Will act as a licensing and compliance expert for company's software and provide support for various on-premise, SaaS and hosted software licensing programs, as well as partner programs, including OEMs and Managed Service Providers (MSPs). Support the software business team through creation and management of the licensing documents for all on-premise software offerings. Manage complex customer migrations from one type of licensing scheme to new or upgraded licensing schemes. Program manage specialized licensing programs, including demo, evaluation, and beta, and specialized partner programs, such as OEM, MSP and Technology Partner programs. Lead process improvement initiatives associated with contract process improvement and simplification. Assist senior product attorneys on the team with creation of services contract documents and templates for SaaS, Professional Services, and Support and Maintenance offerings. Provide strategic advice, negotiation and drafting in connection with business contracts and other engagements, including early dispute management. Provide evaluation and guidance to business clients regarding complex license compliance questions. Collaborate with various business owners and legal colleagues to develop and recommend innovative process improvements to effectively address business needs. Project manages strategic initiatives in the area of Open Source, Cloud or software.

Qualification and Experience

The candidate should have an advanced university degree in law (e.g. J.D. or LL.B.). Should meet local legal license requirements. Must have 2-5 years of commercial legal experience at a law firm or in-house. Should have strong negotiation and drafting skills, with an emphasis on software licensing and hosted solutions such as SaaS. Experience with new product introductions, including intellectual property (IP) due diligence, creation of new licensing models and go-to-market initiatives, and development of partner programs required. Should have established knowledge of software compliance and audit functions as well as legal considerations in software professional services and support and maintenance functions.
