IP Transaction Attorney The candidate will support the company’s newly launched Global Innovation and Performance Center of Excellence (COE), which is charged with developing performance apparel innovations at all price points for our portfolio of brands, including firm, Old Navy, Athleta, and Banana Republic. Will sit in the COE and collaborate closely with business teams on the creation, acquisition, and protection of intellectual property in new and innovative product technologies. Provide strategic legal advice, negotiate third-party transactions, and lead the development of firm’s global patent strategy and processes. Proactively engage with COE business partners to identify and evaluate potential innovation opportunities and drive IP protection strategy to meet business needs and ensure long-term competitive advantage. Advise COE leadership on the acquisition, development, and commercialization of third-party technologies. Negotiate and draft agreements related to strategic partnerships, joint development, IP acquisitions, exclusivity, and confidentiality. Develop and implement a patent strategy for COE innovations. Manage patent research and analysis projects on issues including competitive intelligence, patentability, prior art, infringement, invalidity, and freedom to operate. Oversee the drafting, filing, prosecution, and maintenance of US and foreign patents. Develop, implement, and drive rollout and adoption of internal processes to track inventions and other ownable innovations throughout firm. Advise and support other firm business teams on innovation initiatives, including firmTech digital and mobile technologies. Spearhead internal education initiatives and trainings related to IP and processes. With AGC, build and manage legal budget for innovation work and patent portfolio. Must have JD degree or LL.M. degree from accredited law school. Should have Bachelor’s degree in a scientific or engineering field. Licensed to practice law in the U.S. is needed. USPTO admission is preferred.Should have 8+ years of legal experience in IP transactions and patent practice. Significant experience negotiating and drafting a wide range of complex IP agreements related to strategic partnerships, joint development, acquisitions, exclusive licenses, etc is needed. Significant experience counseling clients on strategic IP protection is advantageous. Deep technical knowledge and expertise in IP law, particularly patent and trade secret is beneficial. Experience with apparel-related technologies, including fiber/textile science, materials science, fabric construction, apparel design and construction, apparel manufacturing processes and equipment, and wearable electronics is must Experience developing and implementing IP strategies and conducting freedom to-operate analyses, IP portfolio analyses, and competitive analyses is advantageous. Hands-on patent prosecution experience a plus. Must have strong patent and scientific background and a passion for innovative technology to serve as firm’s first Innovation Counsel.
