Commercial Counsel and Marketing Attorney The candidate will act as single point of contact for Company’s marketing organization. Draft, review and/or negotiate a variety of complex commercial, technology, intellectual property, advertising and media agreements that comply with the company’s policies and risk tolerance. Respond promptly and effectively to legal requests from marketing, and as needed from sales, business development, operations, senior management, and other internal clients, and advise on recommended courses of action and legal risks. Provide advice and direction to marketing stakeholders on matters including marketing collateral, advertising, media requests, events, social media practices and related services in support of corporate and field marketing activities. Provide advice or enlist and manage outside counsel assistance or other consultants for marketing sponsored raffles, contests, etc. Working knowledge of basic copyright attributions and rights to use content as related to creative content, social media content, web sites, and other marketing collateral. Review various sales incentive programs both internally and externally and related legal advice, including identifying processes, legal requirements, registrations and procedures as applicable. Manage outside counsel on related matters when required. Support continuous improvement of standard form agreements, policies and legal processes related to marketing efforts and commercial transactions in general. Handle special projects as requested. Must be a lawyer qualified to practice in at least one U.S. state, preferably California, and have a law degree from a reputable law school. 8+ years of commercial transaction experience and negotiation expertise with demonstrated success and significant experience advising clients on marketing activities and related commercial transactions required. Excellent interpersonal skills, business judgment, strategic thinking, superior work ethic, flexibility and ability to work independently required. Ability to: work efficiently with cross-functional teams and manage numerous projects simultaneously under deadline pressure; work on a broad variety of advertising and media related issues, including display ads, mobile advertising and media consulting agreements; and to work with in-house IP Counsel as necessary required. Knowledge of general advertising regulations and some experience with providing guidance and advice regarding raffles, contests, and similar marketing activities for commercial entities preferred. Superior language, written and verbal, communication skills required. Experience in network security or other high technology companies preferred.
