Senior Transactional Attorney The candidate will review, draft and negotiate complex client, procurement, alliance, joint venture, mergers and acquisitions, licensing and other contracts within a corporate environment. Will provides solutions to complex business problems for area(s) of responsibility where analysis of situations requires an in depth knowledge of organizational objectives. Involved in setting strategic direction to establish near term goals for area of responsibility. Interacts with senior management levels at a client and/or within firm, which involves negotiating or influencing on significant matters. Has latitude in decision-making and determining objectives and approaches to critical assignments. Manages large teams and/or work efforts (if in an individual contributor role) at a client or within firm.
Qualification and Experience
The candidate should have JD or equivalent law degree. Must have 8+ years of legal transactional experience in consulting, systems integration, and/or outsourcing areas in roles with increasing responsibility, such experience should be in a law firm or in a fast-paced corporate legal/transaction group for a consulting, systems integration, and/or outsourcing services vendor. Must have 4+ years of experience negotiating Intellectual Property and Data Privacy issues. Strong understanding and appreciation of intellectual property and data privacy issues as they apply to consulting, systems integration, and outsourcing transactions is required. Must understand basic principles of finance, accounting, marketing, and management. Experience in either government procurement (State/Local, Federal/Provincial), or health industries – and with cloud-based services or “as a service†offerings is desired. Experience negotiating competitive procurements and with outside counsel and third party intermediaries representing clients is desired.
