Profile

General Counsel The candidate will direct legal activities of organization with the objective of protecting the company’s interest by mitigating the company’s risk while maximizing corporate valuation. Will provides advice and counsel to all levels of the organization from C-level, to VPs, Directors and Managers concerning laws that impact their functional areas. Responsible for all day-to-day legal activities, including negotiating commercial contracts ( NDAs, Pro Serv, EULA, Channel/VAR/OEM, License Issues, Vendor Agreements, Clickwrap Agreements, Etc.), international and domestic corporate governance issues (US and UK), M&A, Divestures, Stock/RSU Offerings, human resources, trademarks, and manage outside counsel with regards to litigation/patients. Manages the legal activities of the company, with the objective of protecting the company’s interests and providing assistance to managers concerning how laws and regulations impact their functional areas and provides legal counsel and guidance to officers, directors and other managers on corporate matters involving legal questions. Prepares and reviews proposed contracts, leases, formal agreements and other legal instruments and selects and manages relations with outside counsel.

Qualification and Experience

The candidate must have a JD Degree and be a Member in Good-Standing of either the MA, PE or DE Bar. Emphasis on contract, corporate law and regulations and MBA is strongly recommended. Must have 10+ years of legal experience with 5+ years of in-house counsel experience. Extensive experience with negotiating contractual relationships and transnational legal issues is required. General knowledge of laws and regulations applicable to corporations in general, and software companies in specific is required. Must have solid experience in MS Office (including MsOutlook, MsWord, MsPowerPoint and MsExcel). Particular knowledge of revenue recognition standards for professional services and licensing issues is a must.
