Corporate Counsel Duties: Provides direction, guidance, and assistance on legal matters related to Health Network and its operating entities including, taxation, long term care, health networks, acquisitions/divestitures, physician contracts, labor and employment, regulatory compliance, real estate and general corporate healthcare law. Serves as an experienced high-level specialist with responsibility for an important aspect of the organization’s legal work, regularly interfaces with senior management and key administrators on legal problems/issues relative to a particular area of specialization or expertise and may provide functional training/guidance to less-experienced attorneys. Represents the most senior skill level with little or no supervisory responsibility, generally handling legal matters of major significance, and interfacing with and providing problem resolution to members of senior management. Knows, understands, incorporates and demonstrates the mission, vision and values of Network in leadership behaviors, practices and decisions. Performs a variety of legal work within specific areas of expertise. Prepares formal memoranda and legal opinion on subjects that require extensive legal research. Consults and advises with and performs a variety of legal assignments for other Network corporate staff members. Will provide consultation and advice to Network officers and other management personnel and Local Health System management and governance. Will provide support and counsel for the Local Health System boards that oversee the various Network regional delivery networks. Resolves or oversees matters not involving substantial monetary amounts or other substantial risk to Network. Frequently participates in discussions with and coordinates activities of outside counsel with respect to matters being handled by outside counsel. Represents the interests of Network in contacts with outside parties including attorneys, managers and officials of other companies and government agencies. Provides legal counsel to Network and its operating entities with respect to matters either in the particular field of law where the attorney has special expertise, or in the general field of corporate healthcare law. Advises management on developments in the area of expertise or corporate healthcare law in which the attorney specializes and which may impact on Network. Coordinates activities of outside counsel engaged to provide legal services to Network and/or its local markets. Maintains a working knowledge of applicable Federal, State and local laws/regulations; the Network Integrity and Compliance Program and Code of Conduct; as well as other policies and procedures in order to ensure adherence in a manner that reflects honest, ethical and professional behavior.
Qualification and Experience
Qualifications: Licensed attorney holding a LL.B. or J.D. degree from a recognized law school. Qualified to practice law in Iowa upon commencement of employment. 8+ years’ experience practicing law with 3+ years’ experience in the practice of corporate healthcare law, including the laws affecting tax-exempt organizations, with demonstrated legal capability covering diverse legal assignments that occasionally include legal matters of major significance. Must have highly effective written and verbal communication skills with the ability to relate directly, openly, and effectively with both internal and external constituencies. Strong negotiation skills and superb listening capabilities. Must have the ability to work independently on routine matters.
