General Counsel Candidate will handle various energy, environmental, finance as well as corporate legal matters such as employment and labor relation matters, environmental, governmental regulations, and contractual agreements to mitigate firm’s liability in the course of conducting business operations and/or to enhance position depending on the circumstances. Candidate will be responsible for identifying and analyzing legal issues, drafting key documents, and presenting clear recommendations. Assures legal compliance and guards against legal risks involving the organization. Stays abreast of existing and proposed legislation and applicable case law. Helps to ensure ethical business practices and corporate compliance, including firm’s corporate policies, governance practices and confidentiality requirements. Reviews contract language and clarifies project scope to reduce financial risk. Anticipates and guards against legal risks in selling and running work. Creates and uses contract templates, and participates in multi-disciplinary contract development and management processes. Works on financial transactions including bonded indebtedness and related documents. Monitor and provide oversight on taxation including non-profit compliance requirements. Reviews relevant company, energy and environmental matters. Obtains the licensing necessary to expand business in new markets. Assists with the legal aspects of acquisitions and organizational transitions. Supports company-wide initiatives, such process improvement and infrastructure development efforts. In the event of any legal action or significant disputes, provides or coordinates company defense and prosecution support. Reviews company materials from a legal perspective and obtains necessary corporate support before release to outside parties, most especially the general public. Performs other legal related duties as necessary and assigned.
Qualification and Experience
Candidate should have a J.D. degree from an accredited law school with recognized standing, admitted to Minnesota State Bar, current license and in good standing to practice law in Minnesota or must obtain Minnesota State license within 6 months. Bachelor’s degree in business or related field and Master’s degree is preferred. 5+ years of business experience and 5-7 years of experience as a practicing attorney as well as solid financial and business acumen is required.
