Global Corporate Counsel The candidate will provide legal support for strategic M&A and other strategic transactions, including acquisitions, joint ventures, equity investments, and divestitures, from pipeline and planning stages through and including deal negotiation, execution, and integration. Structure, draft and negotiate complex transaction agreements and lead global cross-functional teams to execute transactions. Manage internal and external deal processes and drive continuous improvements and scalability in deal processes and execution. Create and manage deal teams with other in-house attorneys and constituents, and outside advisors (including active management of outside counsel) on complex transactions. Work as a key team member evaluating, advising on and handling the following: corporate securities and SEC reporting and compliance matters (including periodic reports, proxy statements and annual reports); treasury activities (including corporate finance transactions and parent guarantees); and corporate governance matters (including support of company’s Board of Directors and Board Committee meetings and subsidiary governance/maintenance). JD degree with excellent academic credentials and 6+ years of experience at a law firm or comparable corporate environment with a sophisticated M&A/corporate finance/corporate governance practice required. Substantial experience in M&A transactions (domestic and cross-border), with a strong understanding of M&A structures, documents, and related issues required. Strong experience in securities law/SEC reporting matters, equity investments, corporate finance, and corporate governance matters required. Excellent interpersonal, written and oral communications skills required.
