Attorney/Counsel - Contracting Center of Excellence The candidate will be contracting Center of Excellence assists in the development, implementation and support of an enterprise-wide contracting center of excellence program and in support of Strategic Transactions in other related matters. Will be contracting Center of Excellence will provide support, guidance and oversight to the enterprise to drive a consistent approach to managing third party risk related to contracting. Work closely with Legal, Compliance, Audit and business colleagues. Report directly to the Associate Chief Counsel for Strategic Transactions and align closely with Compliance to supervise program adherence, evaluate risk prioritization and monitor governance. Assist in drafting contract terms, templates and guidelines for contract playbooks to ensure an enterprise-wide, consistent approach as part of a new company process. Establish principles for consistent and repeatable processes including approval processes for non-standard contracts terms. Ensure that governance standards established for the program are followed and take corrected action where needed. Evaluation, ranking and reporting of ongoing risks in connection with contracting. Subject matter expertise in corporate governance and regulatory risk management. Ability to execute on Board and ELT compliance and contract expectations and risk appetite in order to evaluate third-party relationships. Knowledge of operational business processes and effectiveness, including governance, risk and control and operational risk identification. Working with Legal, Compliance and business clients in developing, implementing, and coordinating contracting and governance strategies. Updating playbooks and templates based on changes in laws and regulations. Developing contract playbooks, standard contract terms, and procedures. Measuring adherence to the program and assessing, measuring, monitoring and reporting risks. Coordinating an integrated contracting program. Supporting compliance and risk mitigation initiatives. Obtaining business, Legal, and Compliance sign-off on processes. Promoting ongoing compliance and ethical conduct. Proactively identify risks of non-compliance applicable to third-party contracts. Driving alignment and gaining business validation across functional and organizational areas in support of the program. Leading discussions of stakeholders to gather information and input to achieve goals. Developing and leading training in support of the program , including coaching and monitoring other team members on best practices, tools and templates.
Qualification and Experience
The candidate should have J.D.degree. Must have Bar membership with minimum 4+ years’ experience. Prior in-house experience preferred. Demonstrated contract drafting experience is required. Excellent written and verbal communication skills with the ability to tailor written and verbal communication across a variety of audiences, including demonstrated ability to provide leadership level reporting is required. Must have proven track record of program management, including effective leadership and on time execution of strategic and tactical objective. Strong knowledge of regulatory environment affecting business is required.
