Transaction Services Risk Management Contract Director The candidate should have a Bachelor's degree of Laws and be a member of the Bar. J.D. degree is preferred. Must have 4+ years of experience. Should demonstrate thought leader-level knowledge with, and/or a proven record of success directing efforts in the following areas: working in a multinational law firm or in-house legal department advising on and negotiating complex agreements in a consulting or corporate transaction environment, preferably related to mergers, acquisitions, corporate finance/investment banking, and other consulting and commercial transactions; identifying and analyzing complex business and related contracting issues and providing appropriate advice regarding applicable contractual terms, consistent with industry practice and risk management policies, guidance and procedures on a time-sensitive basis; negotiating, drafting and finalizing a variety of complex deals related to client engagement contracts including engagement letters, master agreements/SOWs, non-disclosure agreements, clean team agreements, access/release letters; utilizing and applying knowledge of industry trends and practices into projects as they relate to private equity, corporate finance, mergers and acquisitions and applicable laws and professional standards; utilizing and applying knowledge into projects of pertinent business and deals related to commercial and legal issues in order to establish consistent approaches to contract documentation and transactions; working independently and as part of a team working with internal and external clients and escalate as necessary; and building consensus, even for difficult or unpopular courses of action necessitated by commercial, professional and risk/legal requirements. Should preferably demonstrate thought leader-level abilities with, and/or a proven record of success, directing efforts in a professional services consulting firm, including the following areas: effectively applying project management skills to maximize the effectiveness of the project; operating at the forefront of emerging industry developments, technology trends and business issues; integrating innovative concepts and solutions; anticipating the impact and implications of decisions on other components of an organization; translating highly complex problems into components and actionable research objectives; modeling awareness of how to adapt individual working styles to lead effectively a multi-cultural team; helping others operate through a lens of global interconnectedness and complex global economic concepts; developing the leadership capabilities of other team members; building and sustaining relationships to create exceptional client and people experience; demonstrating a variety of communication styles, emphasizing the adoption of an interactive and inclusive style; providing a compelling point of view to reach the appropriate outcome and effectively converting opposition into mutual understanding; and leveraging and expanding internal and external networks to build relationships at executive/senior leadership levels.
