Associate Legal Counsel The candidate will be primarily responsible for negotiating, drafting and managing various transactional agreements, including construction and vendor contracts. Will negotiate, draft, review and approve various agreements (including vendor contracts and large and small scale construction contracts) to ensure terms comply with firm’s policies and appetite for risk. Identifies areas of risk and collaborates with senior counsel and other firm stakeholders (e.g., finance, risk management, procurement, tax, operations) to formulate an appropriate response. Responds to inquiries from internal stakeholders regarding scope of contractual obligations. In collaboration with senior counsel and internal stakeholders, formulates strategy and responses to contractual disputes. Assists in managing contracts database. In collaboration with other legal team members, creates training materials for contracting process and policies. Conducts live and video training sessions on contracting as well as other legal initiatives (e.g., anti-harassment, anti-bribery and corruption). Responds to questions from internal stakeholders regarding contracting process and policies. Ensures proper documents and records are maintained for corporate entities to ensure compliance with applicable laws and regulations. Drafts minutes or resolutions of the Board and its committees. Advises on ad hoc legal or regulatory issues affecting firm's business, such as data protection, privacy, power regulation, renewable energy, and environmental, export controls and telecommunications to influence the regulatory agenda for the benefit of firm’s business. Develops and coordinates US and global regulatory management policies and programs that support regulatory issues where appropriate. Provides training on internal procedures, forms, and policies to ensure compliance with laws, regulations, and internal processes. Drafts, advises on, interprets, enforces, and occasionally trains employees on company policies to ensure legal compliance and alignment with company values. Participates in and contributes to global legal initiatives and project working groups to scale and maximize the effectiveness of the Legal department. Maintains Legal “data room”. Performs Legal research. Covers absences for Legal Counsel and Paralegal. Manages external legal counsel when necessary or local law input is required to provide legal support for the various activities referred to above. Assists Legal Counsel and Senior Legal Counsel with transaction support. Supports the Finance department in relation to the preparation and finalization of the US GAAP and local statutory accounts and the accompanying audit processes, including providing corporate documentation, reviewing and advising on representation letters, etc. SEC Reporting and Nasdaq Listing. Prepares SEC disclosure documents. Identifies and advises on intellectual property related issues affecting firm’s business to ensure proper protection of firm intellectual property. Coordinates filings and maintenance of firm’s IP Portfolio. Performs a wide variety of other tasks as part of a small team supporting all the legal needs of a fast-growing technology company throughout the Americas region (currently U.S., Brazil, Colombia and Canada).

Qualification and Experience

The candidate should have JD degree or equivalent. Must be Admitted to practice law in at least one U.S. jurisdiction (California preferred). 1+ year of experience completing tasks similar to the above for a law firm or in-house legal department preferred. Preference for: Experience working construction or vendor contracts; Experience with contract management systems, supplier codes of conduct or supply chain management. Must have familiarity with corporate procurement practices and policies. Experience in the telecommunications or datacenter industries is required. Proficiency in Spanish (to support our new and expanding Latin American operations) is required.
